Let a new independent chair and CEO get a big 4 to come in and do a proper strategic review. I'd imagine that will lead to recommendations about other board members and the CFO.
It's really not that hard - companies do this all the time. Except in this case you have a complicit chair and a majority shareholder in the CEO and they'll ride the elevator to the basement rather than step out of the way.
