However in terms of influence in determining company and board matters in calculating the 19.99% maximum (before a formal takeover must ocurr)only voting right shares carry any weight.

Very interesting posturing seems to be ocurring here.
Mr Bolton's attempt to remove the existing board and replace them with an operational friendly team, sympathetic to his desired outcome, is effectively a take-over without shareholder's having the opportunity of receiving a formal offer with a subsequent premium one would expect.
Oceania saw this coming and commenced a rear guard action to protect their interests by increasing their holding.
We now have the resultant stand-off whereby if Whitechurch Developments was not a seller during this process they have become the pivotal player, critical in the outcome of this play.
