So in summary: 1. It is possible the board is removed, I don't know how likely it is but it is very possible. I'm ok with this. If the majority of investors think they need to go then off with them. 2. I don't think shareholders will suddenly let the company go for $2.70 after deliberately passing over an offer at that price right now. Even less likely if they do vote for change IMO.
