    You can refer to my posts above with the calculations regarding FILs holdings, but I'll also summarise for you here.

    FIL's change in holding was less than 1% prior to the issue of the performance shares, it was the Class B shares that pushed them over the 1%. Since they were issued on 22 Nov, they had until 26 Nov to issue the 671B (they issued prior to trade on 27th, which is probably ok).

    Any trades between April and November would have had to be disclosed in the 671B also, so it is fair to assume FIL stopped selling in April.

    To answer your question, it is a change in the interest in the voting power of the holder, so it is a change in the % of company ownership that triggers the need to issue the notice, not the % change in number of shares held.
