Quite shocked the independent directors recommend accepting the offer. This would have to be the most friendly hostile on market takeover. The management have done nothing. As I understand it they could have sold or cashed in assets. 18 mths ago they had a valuation of $1.40 to $1.90 per share. They didn’t even ask for an increased price happy to take a buck and include a bonus issue.
I think the bidder can extend the period up to 12 months but can only increase the offer price at anytime before the last five days of the offer period.
