My read is that H will not be getting these shares at 28c or at all Unless she withdraws the 40% requirement.
ie reference second last sentence.
Thus if H with draws condition then they(H) pay 36c.
Otherwise they will not be selling to H.
An each way bet as I see it...and if they hurried could sell on market at 36
