Below is the even more interesting Annexure from 19 March 2024 that shows - quelle surprise! - that Dr George not only applied for & participated heavily in Mesoblast's Top-Up Facility uptake on 18 March 2024, but also went out of his way on 2 - 4 December 2023 to get his family trust company (G4) to
sell (on-market on NASDAQ) a squillion ADRs, which he then
bought back (on-market on NASDAQ) - hang the commission! - just so that he could participate personally as Gregory George prior to the registration date in December 2023 & give MSB the value of the full share entitlement of his family trust associate entities' interests in the Placement and Institutional Entitlement Offer. He maximised his personal entitlement uptake for the benefit of the company & it ended up costing him
AUD15,000,000 PLUS transaction costs.
Mesoblast got all of that AUD15,000,000 - first, the AUD7,500,000 on the share entitlement offer in Decemebr 2023, and then a further AUD7,500,000 on 18 March 2024 i.e. when the Retail Entitlement Offer had closed & the top-ups could be facilitated.
I mean, what has a person to do to demonstrate how interested they are in supporting Mesoblast in the right way & demonstrate that they respect the Board's decisions and mandate from an AGM held only 2 weeks previously. There's clearly no issue between the Board and Dr George. They seem well aligned, IMO. And clearly the Board members knew exactly what he was trying to do throughout this period. Otherwise, as
@Fastback6666 noted, there would have been no placement to him, and certainly no top-up 'in the Board's discretion' in March 2024.
I know there are many who couldn't participate in the Entitlement Offer for various personal reasons, but unfortunately there are also bitter & twisted liars out there IMO who could have - but didn't - contribute to Mesoblast's capital needs when asked to do so in December 2023 & now want to spread disinformation & blame a giant takeover conspiracy (or anyone other than themselves) to salve their conscience while being carried over the line to break-even on $$$ from the pockets of other shareholders.
Fortunately, IMO, Dr George seems not to be one of those liars & we all know the type - who say they're interested in and respect the proper management of a corporation & then do something else behind the Board's back.
IMO that bodes well for a significant part of the shareholder interest in the future management of Mesoblast Ltd.
