They are not super clear on the tax obligations either. In the normal course of things this may be a CGT event. An off market trade. Just holding the shares though may not be.

The arbit is good today so maybe its that.
I haven't seen this done before an unlisted Australian company trading ADS on the nasdaq. Its still and Australian company and two directors would have to domicile in Australia. JG was Aussie domicile so they needed Ebru to comply.
In fact this BS about being US based. This is not right the domicile is not changed.
