Yes and broadly speaking major directors were not able to vote so it was a shareholder vote for the plan to go through. Any post criticism against this should be directed to shareholders who didn't vote against the proposal if it was an objection of theirs.
Of course many who didn't vote may have been a agreeable to any incentive to help encourage more endeavour and hard work to bring the many projects on their way to fruition - in my opinion..
