Perhaps it could be said simpler like this: Peter has gone long on the stock.
If the price drops on average 10% - he loses 20% + $5k on the transaction.
If it gains on average 100% - he gains 90% with a $5k fee.
Why? Well he may not be allowed to sell over the next few days / weeks - and this gives him a way to do so. Why won't he be able to sell? Because of rules around market sensitive disclosure blackout periods.
