I certainly agree with you that Mr. Bramwell is entitled to invest where he likes but he also needs to realise precisely what you have posted in relation to your entitlement to vote against any free or cheap option share allocations that might come his way.
Just like yourself, I too would vote against him until such time as he demonstrates by his actions that part of his renumeration package from Ardea (his employer) should be able to afford him to buy the equivalent of his holding that you mention he has in Piedmont.

It is rather galling to think that since his employment by ARL, he has seen fit to invest over $100K in a USA operation and yet cannot find time nor money to invest in something all of his work colleagues have committed to.
Maybe he believes that he would have a conflict of interest but i doubt that and i expect him to be a buyer sooner rather than later. He should be a buyer now! Not next month or next year!!
