It was all pretty much self explanatory in the papers if you ask me but not many people bother to read things like this.
Basically SU was expected to carry a greater than ordinary load as an independent nonexec chair for the year ahead (this has proven to be true without a CEO) and PW was to recognise and align his potential contribution to future shareholder wealth as a CSA noting the vesting conditions on price rises. Worth noting that PW is considered non independent by virtue of having been an exec within the past 3 years.
