The trustee continues to hold the shares on behalf of the Participant until all vesting conditions have been satisfied and the Participant chooses to settle the loan, at which point ownership of the shares is transferred from the trust to the Participant. (Emphasis mine)

and...

The maximum loan term is 5 years.

Then see this, skip to page 2, Point 7:

Quite simply it appears that time is up for the Loan.  Without a Remuneration Committee it is probably impossible to recommend an extension, but there is no evidence that this is required or requested by Dr T.

It seems simply that the end of that rope has been reached.
