I generally agree. You have to incentivise good talent. However, it doesn't show that the company's leadership is looking out for the rest of the shareholders of they use their weight to simply overthrow the popular vote.
As I've said previously, I do feel that the company will come good long term, but a lot of investors have lost serious time in market due to a lack of transparency on part of the board and it's something of a kick in the teeth when they get issued performance shares for not performing to their own standards and deadlines.
