Maybe just do a bit of reading, the board could easily have chosen to look at the SP, see that it was higher and then note that when released, the performance criteria to be met included the SP falling some 25%??

They could have said, that will send a really weak message to the market and the shareholders who we have been telling to be patient and that they will be rewarded.
They could have said to themselves discussions are going really well, lets's put an announcement out that even though the remuneration is set by the independent auditor at $2.55, let's acknowledge that but raise it to $4.55.

That will show the market and the investors how confident we are, but they chose the latter, and here we are.

The board could easily have chosen higher remuneration standards had they wanted, it would be very different if they lowered the recommendations, but raising them entirely different matter.

Don't forget the board is not independent as it's recommended. So the biggest shareholder on the board approves the remuneration for Sam, then also votes that way as well. all our votes don't matter.
