Price is set on what the board determines, they can change it, and they could set it at $4 or $5.

They could say that because the project has taken a lot longer to come to fruition they are lifting the price of the performance share because the price at the time was already 50 cents higher.

Sam could have said I know I've said patient shareholders will be rewarded and as such I'm prepared to raise the performance bonus to this level. Imagine if he did that, how it would make the shareholders feel confident, he does get $600k a year, it's not like he just works for performance shares.

They could also choose to follow their own corporate governance and get a higher percentage of independent directors and perhaps if they had this, they may have suggested just such an action.
