If he was aware that there had been some problem and an announcement was to be made that would tank the share price, so he sold to get ahead then that might not be compliant. But if that was the case he wouldn't have sold 200,000 and kept another 1.5mil shares (and options, etc)
But we're expecting news which would send the price upwards - so where's the benefit he's gaining to selling now? Put it down to his family having an expensive christmas wish list.
