Who puts forward the remuneration for vote? That's the question. If the remuneration option wasn't put forward, it wouldn't be implemented. If leadership really put the performance of the company ahead of themselves, the option of excessive remuneration wouldn't be on the table.
The shareholders technically vote on the remuneration, but who really votes? Unlike a democratic vote, the votes are unfairly weighted based on number of shares, so the majority of shareholders' votes don't count any significant amount. Which is why most don't vote at all. Of these non-voters where do the proxy votes go? Always in favour of the beneficiaries... So voting it almost a pointless exercise. It's like a leadership vote in Russia or China. Just a box ticker so people can say, 'well, it was voted in, so everything is fair'.
