The Company is proposing, subject toobtaining Shareholder approval, to issue up toa total of 2,500,000 Shares (Incentive Shares)to the Company’s Managing Director, Mr AlexCheeseman (or his nominee) under theCompany’s employee securities incentiveplan (Plan).The Company is moving into an importantstage of its evolution, with significantopportunities and challenges in both the nearand long-term, and the proposed issue of theIncentive Shares seeks to further align theefforts of Mr Cheeseman, as a Director, inseeking to achieve growth of the Share priceand in the creation of Shareholder value,together with also acknowledging thesignificant milestone achievements of theCompany since his appointment as MD inOctober 2022, including but not limited to, theannouncement of two maiden JORC resourcestatement (Mavis Lake and Halls Peak),project expansion with acquisition of theCompany’s northern prospects (Gullwing andTot prospects), drilling some 45,000+m at MavisLake with a perfect environmental and safetyrecord and furthering the Company’s relationswith First Nations communities. The Boardbelieves that the issue of the Incentive Shareswill further align the interests of Mr Cheesemanwith those of the Company and itsShareholders. In addition, the Board alsobelieves that incentivising with Shares is aprudent means of conserving the Company’savailable cash reserves. The Board believes it isimportant to offer the Incentive Shares tocontinue to attract and maintain highlyexperienced and qualified management in acompetitive market.The Incentive Shares are to be issued underthe Plan. A summary of the material terms ofthe Plan is in Schedule 1.Resolution 6 seeks Shareholder approvalpursuant to Listing Rule 10.14 for the issue ofthe Incentive Shares to Mr Cheeseman (or hisnominee) under the Plan.
