Wife, kids, rellies, mate? It hasn't traded there so he's "sold" them at a discount near enough to the traded price (for tax purposes) to reduce his tax liability I assume.

It'd be a smart buy for the recipient of these shares if they consider the SP is too low, and a good tax scenario all around for a >12 month hold accordingly.

This seems one of those non-binary announcements where the market will show confusion as the interpretation of motives is totally unclear, but think about the purchasers motivations as well.
