Ann: Changes to Board, page-4

I have just been reading the "Notice Of The Annual General Meeting" if you scroll down to page 4 ....it reads as follows !

2. DIRECTOR RE-ELECTION: STEPHEN GERLACH Rule 14.2 of the Company’s Constitution requires that at every AGM of the Company, one third of the Directors must retire, and that for the purposes of calculation, the Managing Director is excluded. Stephen Gerlach, who was elected at the 2020 AGM, will retire and, being eligible, seeks re-election as a Director. Brief biographical details follow.

Now I'm no expert when it comes to understanding company constitution .....but this could have something to do with recent announcement.
Once again ...I haven't a clue , but the wording appears to be self explanatory
