The difference between direct dilution and a JV would be that in order to retain a blocking stake in CTO the Lynch family cannot afford to dilute their shareholding by the amount required to raise capital for the new City mine at these share price levels. Hence they are prepared to hand over some portion of revenues flowing from the City mine to a joint venture partner, rather than risk losing the entire goldfield in a hostile takeover of CTO.
