    I interpret this as - OSH received an offer for Merger/sale of the business and the board did the due diligence and acted in shareholders best interest. (Interpretation could be wrong).

    If a valid and reasonable offer was made I believe shareholders should have been informed. seems odd that shareholders weren't informed?
