IMO:
We don't know who the CN owner/s are but a clue is in the pro-forma balance sheet in the Supplementary Prospectus of "Loyalty Options"
They were advanced over $2.2M prior to the formal issue of CN's so there may have already been an existing "financial relationship" with "them"
Separating KAT GAP into another entity would not remove any debt from CLZ.
If it were to occur I would imagine the ATO would consider it occurring to something similar to a Phoenix operation to avoid payment of debts which they consider an illegal practice.
