As I mentioned earlier, this is standard practice. The convertible note is likely binding, though I can't state that with absolute certainty. If I had taken that note at 2c, even with the 12% interest rate, I’d be quite frustrated. The company has likely alienated a lot of stakeholders today, from investors to consultants, many of whom have been compensated in shares.
