In this instance, although not technically diluting existing shareholders upon contribution of $490m as no shares are issued, the existing shareholders will only own 50% of the trading entity (the JV). Wouldn’t that mean they are inadvertently diluting anyway? As in the same outcome is achieved, just without issuing the shares to SSW?
