The Board reserves the right to place any Shortfall Shares in their absolute discretion at a price no less than the price of the New Shares offered under the SPP…….

So, in essence when the SPP is completed and if there is a shortfall and results come in that increases the SP, NML Management can “at their absolute discretion” place these with SI and the discounted SP at “no less than Price offered under the SPP”.

As I have said, time will tell if this happens and who they go to.
