yes will be $140 per share unless SP drops under $140 per share in the 5 days before it closes then it's 2% discount of that 5 days weighted avg price as if price drops to $130 just before offer closes no one would take up instead of on market purchase. Market would have to have a rough run to drop COH under $130 in April so high chance it's at $140.

I assumed "proportional to holding" meant the more shares you already had the less you would be scaled back....not sure how that would work though.
