I get that TSO is the majority holder, my question is can they just change the rules when they want to disadvantage the minority party? if so why not just kick them out all together?

Unless this is just done in good faith and Zeff is mates with the JV partner, and they have no way of paying for all this. Seeing as they hold 5m shares they might just be happy to have the added value to them, I guess there is a lot of unknowns in this situation. Like I said I hope it works out the way you think, logically though I can't work out why it would when they had a better deal before if they don't pay now and only stand to loose more going forward.
