If the app was so good TALI would not need to go anywhere near Avexa. Why would you ? What can Avexa offer to TALI. What is on the board for app commercialisation ? There is no synergy and TALI will be attached to the Avexa brand which is low.
This is a cheap listing for TALI without having to go for an IPO I think. A back door listing if you will. Look for a name change and cessation of all non-TALI work within 12 months.
