The Company has entered into a non-binding term sheet in relation to a corporate transaction to acquire
a company with a late-stage (Phase 2) asset in the chemotherapeutics sector (Term Sheet). The Term
Sheet provides for the parties to provide each other with a 90-day exclusivity period to conduct due
diligence and negotiate formal agreements in respect of the transaction.
