your max loss is 1 share when it is rounded down - the reason it cannot be rounded up is if at the end of this exercise the total number of shares on issue goes up by a few shares while rounding up - it can trigger some bigger problems like getting approvals and all that...
so rounding down is the norm... the max any shareholder makes a loss is 1 share... do the math
