a proxy is simply the person who casts the actual vote at the meeting on your behalf.
if you have declared your instructions to the proxy they vote in that manner, if you haven't they vote how they see fit.
by completing your online form, you have declared your instructions and the chairman is simply the person who "submits" those votes, as instructed, on your behalf at the meeting.
