There was a company I was involved with some years ago with a similar dubious deal with a BVI registered company. A group of retail shareholders made threats of legal action ( legitimate threats at that). The details of the deal had some notes regarding that it would be off if there was legal ( or impending) action. The Chairman had to work fast to make matters good.
