I think your correct that MIN cannot vote on a TO by MIN. However as I understand CE can, his holding in MIN is below the threshold which is deemed to be in conflict.
I am hoping someone can enlighten me on what happens with MIN votes in event of a TO?
Are they simply not included?
Or are they proxy to the Chairman?
Please if someone can explain it may eleviate some of my concerns.
