Announcement on Execution of Letter of Intent Regarding Acquisition of Preference Shares in Stand Success Group Limited
This is to announce that, on 18 August 2009, the Board of IB Daiwa Corporation (the “Company”) has resolved to execute a letter of intent (“LOI”) regarding an acquisition (“Acquisition”) of preference shares “Acquisition Preference Shares”)convertible into ordinary shares representing 25% of the total issued ordinary share capital of Stand Success Group Limited
(“SSGL”), which will on completion of the Acquisition through its wholly owned subsidiaries indirectly hold rights and concessions for the exploitation of coal resources in East Kalimantan (Borneo) in Indonesia (“Coal Mine”) and the marketing and selling agent of such coal mining resources (“Coal Mining Assets”). Details of the LOI and Acquisition are as follows:
