COG hasn't been paying dividends, only starting in FY20 where as CGR has been paying them for years.
It's sold as a merger of equals but it's clearly not, COG is the dominant partner & CGR shareholders are suffering.
The only reason I can see that a majority of holders intend to vote yes is because they want to partly cash out of a fairly illiquid share.
