they do not know the impact of the closing of the plant but they do it anyways...
by now I am convinced that lev is aware of Actons and his own shortcomings but he is too stubborn to make a change.
my guess is all the board members are happy to collect their paycheck without doing much that adds value to the business. they have no incentive to speak up against lev, they stay quiet and keep benefiting from their positions.
