See the other announcement relating to issue of convertible notes. Chances are the note issuer refused to stump up more cash unless the company consolidated. The note issuer is going to end up with a trailer load of shares at the end of the day and clearly didn't want them to be worth half a cent with no buyers. At 10c at least there's a chance there'll be somebody to offload to.
