    If there is a contract and they didn't go ahead with it they are supposed to obey to the claws of the contract. this isn't going to court, it's just lawyers sending letters to each others. VC is a big company and they will not go bankrupt over $1 mil. they will negotiate and transfer that $$$ and wish goodbye to MGC .
    this is only my opinion of course.
