Dear Shareholder, Finalization of the arrangement between Hudbay Minerals Inc. (“Hudbay”) and Copper Mountain Mining Corporation (“Copper Mountain”) by way of a court-approved plan of arrangement under the Business Corporations Act (British Columbia) (the “Arrangement”) This letter contains important information about the Arrangement and how you can manage your new shareholding in Hudbay. In order to receive electronic delivery of documents in the future, we encourage you to please register through TSX Trust’s web-based investor hub by taking the steps described below under the heading “Investor InSite – Online Access to Your Shareholder Information”. Arrangement Consideration On June 13, 2023, shareholders of each of Hudbay and Copper Mountain approved the resolutions necessary to give effect to the Arrangement at their respective shareholders’ meetings and, on June 20, 2023 (the “Effective Date”), the Arrangement became legally effective. Copper Mountain is now a whollyowned subsidiary of Hudbay. Under the terms of the Arrangement, on the Effective Date, Hudbay acquired all of the issued and outstanding common shares of Copper Mountain (“Copper Mountain Shares”) and Copper Mountain CHESS Depositary Interests (“Copper Mountain CDIs”) and, in exchange, the holders of Copper Mountain Shares and Copper Mountain CDIs received 0.381 of a Hudbay common share (“Hudbay Shares”) for each Copper Mountain Share and Copper Mountain CDI held. The Hudbay Shares issued as consideration to former holders of Copper Mountain Shares and Copper Mountain CDIs trade on the Toronto Stock Exchange (“TSX”) and the New York Stock Exchange (“NYSE”) under the ticker “HBM”. Shareholders should verify if their current broking arrangements are suitable to allow them to trade on the TSX or NYSE and should make other arrangements if they are not. Your Hudbay Shares are registered under the same name your former Copper Mountain CDIs were registered, on Hudbay’s share register maintained by its registrar and transfer agent, TSX Trust Company (“TSX Trust”) in book-entry form in the Direct Registration System (“DRS”). Enclosed is a DRS Statement (“DRS Advice”) confirming your ownership of the Hudbay Shares. Your DRS Advice should be kept in a safe place and, as it contains personal and financial information, should be safeguarded from disclosure to anyone other than TSX Trust in Canada, or your stockbroker.
