There'd rarely be a case where a deal was completely off. Pak could be asking for $1m investment for 50% of the company and the deal would still be considered as on even though it's almost a no-brainer. Unless there's written confirmation from Pak saying he would pull out of the deal, management can always abuse that silver lining and delay until they find a somewhat decent substitute to not hurt the share price so much.
