They are in breach if there has been material progress which makes the outcome imminent, with exceptions as listed below.
If the outcome isn't imminent, then no material progress has been made. In this case, its highly speculative and in particular given those 'offers' have been on the table for years and not one has been signed, conditionally or unconditionally.
