In Specie Distribution of 3D Resources Shares-

As at the date of the prospectus (4 February 2021) the Company holds 15 million shares in Cosmo comprising

71.16% of the issued capital.

The Company will distribute the Shares in specie to Eligible 3D Resources

shareholders recorded on the register at 5.00pm AEDT on the In-specie Distribution Record Date of 17 March

2021 with the distribution proposed to be undertaken on 18 March 2021.

* (1.)The Company will not be issuing any

Shares under the In-specie Distribution

IMO, this is a poorly worded statement and will be confusing for some shareholders.. *(1.) this statement refers to DDD "shares" securities.

- Basically, investors holding DDD shares on the record date of the 17th of March will receive their allocation of free Cosmo shares relevant to their current holding on the record date.
