The fees paid to Ivan's consultancy, what were the services? What are the services he was to provide as a non-executive director?
It's generally agreed that it's against good corporate governance for Board members to be approving fees to their each other's businesses. Unless there are measurable reasons such as substantial discounts to industry, the services should be provided independently and transparently.
Transparency has not been a prerequisite for CPV management to date.
How are the USA and Europe markets "proven"? Benchmarked against the results of Vicinity installation, in Europe where solar irradiation is a lot lower, how can CPV justify commercial viability?
At least with the Case Study of USA skyscraper, shareholders may have right to legal action against directors for being either misleading or deliberately incompetent. Either of those contentions could lift corporate veil for remedies against Board members.
