Decision to sell seems at odds with this statement from the Founder's Letter in the Prospectus:
"We believe in building long-term shareholder value by making long-term investment decisions."
Reasons/justification given for sale include that any future raising would dilute shareholders; yet this sale would dilute them out of existence!!
IMHO. a better long-term investment decision to build long term shareholder value, would be to continue to execute on their strategy, given they have just opened up a market that is ~80 times larger than their current vertical; they have first mover advantage and all metrics of the business are moving strongly in their favour?
Hopefully this is blocked.
