The agreement between North River and Extract, relating to their respective wholly-owned subsudiaries Brandberg Energy, Energy Minerals Limited and West Africa Gold Exploration Limited, was announced on 21 September 2010.

As set out in the announcement, subject to the satisfaction of certain conditions, Brandberg Energy will subscribe United States Dollars 800 000 (approximately N.dollars 5,4 million) so that each of Extract and Energy

Mineral Limited will hold a 50 per cent interest in Brandberg Energy.

The proncipal assets of Brandberg Energy are Exlusive Prospective License (EPL) 3327 and EPL 3328, pursuant to which Brandberg Energy has the rights to explore for nuclear fuel minerals.

In the event of a discovery on either EPL 3327 or EPL 3328, Extract has the right to increase its holding in Brandberg Energy to 65 per cent by acquiring shares from Energy Minerals at a 10 per cent discount to the then prevailing market value.
