    Air New Zealand has announced that Tony Carter will replace retiring Board
    Chairman John Palmer, when he steps down following the Annual Shareholders'
    Meeting in September.
    
    Mr Carter's appointment follows a succession process initiated two years ago
    when Mr Palmer signalled that this would be his final term on the Board of
    Air New Zealand.
    
    Mr Carter is currently Chairman of Fisher and Paykel Healthcare Ltd and a non
    Executive Director of ANZ Bank New Zealand Ltd and Fletcher Building Limited.
     He is a former Managing Director of Foodstuffs New Zealand.
    
    Mr Palmer has been Chairman of Air New Zealand since 2001 and has played a
    pivotal role in the revitalisation of the airline, which is now regarded as
    one of the most profitable and best in the world.
    
    "I committed to the Board last year that I would see through the transition
    to a new Chief Executive Officer. Now that Christopher Luxon and his
    management team are off to a flying start delivering our Go Beyond plan I am
    confident I will leave the business in tremendous shape," Mr Palmer says.
    
    "I am delighted that Tony Carter will become Air New Zealand's next Chairman.
     He is a highly talented Director with an engineering background and a strong
    commercial and leadership track record that already brings great value to the
    Board table.  Tony will become Chairman after the Annual Shareholders'
    Meeting on September 27."
    
    Mr Carter says he feels extremely privileged to become the next Chairman of
    Air New Zealand.
    
    "Air New Zealand is an incredible company that holds a special place in the
    heart of our nation.  I look forward to working with Chief Executive Officer
    Christopher Luxon and his world class management team as the airline goes on
    this next exciting phase of its journey," he says.
    
    Mr Carter says Air New Zealand would not be the company it is today without
    the leadership of Mr Palmer as Chairman.
    
    "John took over as Chairman in 2001 during one of the darkest periods in the
    airline and corporate New Zealand's history.  Over the course of more than a
    decade John has ensured the Board supported successive management teams under
    three outstanding Chief Executive Officers to see the airline return to its
    place as one of the best in the world. His leadership of the Board has been
    simply superb and I am delighted that he has agreed to my request to remain a
    Director until early next year to assist with my transition."
