    If there is something dodgy buried, current management are silly to take it over. Legacy issues can take a long time to deal with and liability would be against the company to at least an extent, as is the ideal of an incorporated entity.

    I highly doubt under many circumstances an existing management team would retain shares in a company after what was more or less a hostile takeover. Provides a great liquid event for them to get out whatever they own.
