Director Independence

Pursuant to NZX Main Board Listing Rule 3.3.2(a) and following the director
reappointments at the annual meeting of shareholders held on 31 July 2015,
the board has determined that:

1. Peter Fennessy, Alan McKenzie, Veronica Aris, Graeme Boyd and Bevan
Wallace are each independent directors of the Company; and

2. Anthony Offen is not an independent director of the Company.
